1. Introduction

This Terms and Agreement ("Agreement") is entered into between Silicon Automation, a company registered at 4/30E, Otterpalayam, Sathyanarayanapuram, Chindamanipudhur, Pallapalayam, Coimbatore, Tamilnadu - 641103 , hereinafter referred to as "Silicon Automation," and the Seller , hereinafter referred to as the "Seller."

2. Acceptance of Terms

By entering into this Agreement, the Seller  agrees to be bound by the following terms and conditions. Please carefully read and fully comprehend these terms before proceeding with any business transactions with Silicon Automation.

3. Privacy

Silicon Automation's privacy practices are detailed in our Privacy Notice. Seller  are required to review and adhere to this Privacy Notice, which governs the collection, storage, and use of data and information in the course of our business relationship.

4. Electronic Communications

The Seller  acknowledges that electronic communications are an integral part of our business relationship. By conducting business with Silicon Automation, the Seller  consents to receive electronic communications, including emails and notices, from Silicon Automation.

5. Intellectual Property

a. Copyright: All content, including text, graphics, logos, images, audio clips, digital downloads, data compilations, and software, are the intellectual property of Silicon Automation and are protected by relevant copyright laws.

b. Trademarks: "Silicon Automation" and related trademarks are the exclusive property of Silicon Automation and may not be used in a manner that causes confusion, disparages, or discredits Silicon Automation.

6. License and Site Access

Silicon Automation grants the Seller  a limited, non-exclusive license to access and use the Silicon Automation platform for the purpose of conducting business. This license does not include any resale, commercial use, or unauthorized use of Silicon Automation's intellectual property.

7. Seller  Obligations

a. Compliance: Sellers agree to comply with all applicable laws and regulations in the course of doing business with Silicon Automation.

b. Prohibited Activities: Sellers must not use the Silicon Automation platform for fraudulent, illegal, offensive, or disruptive purposes, including sending spam or causing annoyance or damage to the platform.

8. License to Silicon Automation

By submitting materials to Silicon Automation, the Sellers grants Silicon Automation a non-exclusive, royalty-free, irrevocable, and fully sublicensable right to use, reproduce, modify, and distribute such materials for the duration permitted by applicable law. The Vendor represents that they own or control all rights to the submitted content.

9. Copyright Complaints

Silicon Automation respects intellectual property rights. If a Sellers believes their intellectual property rights have been infringed, they should follow Silicon Automation's Trademark and Copyright policy.

10. Services Description

Silicon Automation strives to provide accurate and reliable information on its platform. However, it does not warrant that descriptions, content, or other materials on the platform are always accurate or error-free. Silicon Automation may suspend or restrict access to the site for maintenance and repairs, without prior notice.

11. Disclaimer of Warranties and Limitation of Liabilities

a. Silicon Automation provides its services "as is" and "as available" and makes no warranties regarding the accuracy, completeness, or reliability of its platform.

b. Silicon Automation disclaims liability for any damages arising from the use of its platform.

12. Applicable Law

This Agreement is governed by the laws of India, and any disputes are subject to the exclusive jurisdiction of the courts in Coimbatore, India.

13. Disputes

Any dispute relating in any way to your visit to this Site shall be submitted to the exclusive jurisdiction of the courts at Coimbatore, India.

14. Site Policies, Modification, and Severability

Sellers are also bound by Silicon Automation's other policies, which are available on the platform. Silicon Automation reserves the right to modify its policies and this Agreement at any time. If any part of this Agreement is found to be unenforceable, it will not affect the validity of the remaining provisions.
